Terms of Service

1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "Customer") and RecoverPay ("we," "us," "our," or "Company") governing your use of the RecoverPay payment recovery service (the "Service").
By connecting your Stripe account or otherwise using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.
2. Description of Service
RecoverPay is a revenue defense platform designed for businesses using Stripe. Our Service includes:
2.1 Payment Recovery (Recover Plan)
- Monitors your Stripe account for failed subscription payments
- Sends automated recovery emails to customers with failed payments
- Provides a hosted payment update page for customers to update their payment methods
- AI-powered retry timing based on customer payment patterns
2.2 Account Health Monitoring (Growth Plan)
- Real-time dispute rate tracking and freeze risk scoring
- Alerts when approaching Stripe's 0.9% dispute threshold
- Weekly health reports and trajectory analysis
2.3 Fraud Prevention - Circuit™ Engine (Shield Plan)
- Shield.js SDK: Browser-side JavaScript SDK for device fingerprinting and bot detection
- Shield-Node SDK: Server-side SDK for risk verification and fraud reporting
- Real-time transaction risk scoring and blocking
- Detection of VPNs, proxies, bots, and card testing attacks
- Global fraud blacklist and device reputation tracking
2.4 Enterprise Features (Titanium Plan)
- Multi-Stripe account support
- Custom SDK routing rules
- Dedicated support and SLA guarantees
3. Account Registration and Stripe Connection
3.1 Eligibility
To use RecoverPay, you must: (a) be at least 18 years old; (b) have a valid Stripe account in good standing; (c) have the authority to bind your business to these Terms; and (d) use Stripe for subscription or recurring billing.
3.2 Stripe OAuth Connection
You authorize RecoverPay to connect to your Stripe account via Stripe's OAuth integration. By connecting, you grant us permission to:
- Read invoice and payment failure data
- Read customer email addresses and names
- Read subscription status information
- Create customer portal sessions for payment updates
You may revoke this access at any time by disconnecting RecoverPay from your Stripe dashboard or from within the RecoverPay application.
3.3 Account Security
You are responsible for maintaining the security of your account credentials and for all activities that occur under your account.
4. Fees and Payment
4.1 Subscription Plans
RecoverPay offers tiered subscription plans with monthly billing:
- Recover Plan ($49/month): Dunning and payment recovery features
- Growth Plan ($99/month): Health monitoring and freeze risk alerts
- Insight Plan ($149/month): Audit and compliance reporting
- Shield Plan ($299/month): Active fraud blocking with Circuit™ Engine and SDKs
- Titanium Plan ($999/month): Enterprise features with multi-Stripe support
All plans include a 14-day free trial. You will not be charged until the trial period ends. You may cancel at any time during the trial without charge.
4.2 Billing Cycle
Subscription fees are billed monthly in advance. Your billing cycle begins on the date you subscribe (after the trial period). You authorize us to charge your payment method on file for all subscription fees.
4.3 Plan Changes
You may upgrade or downgrade your plan at any time. Upgrades take effect immediately with prorated charges. Downgrades take effect at the start of your next billing cycle.
4.4 Refunds
Subscription fees are non-refundable except as required by law. If you cancel mid-cycle, you will retain access until the end of your current billing period.
4.5 Disputes
If you believe a fee was charged in error, you must notify us within 30 days of the charge date. We will review the dispute and make adjustments if warranted.
5. Customer Communications
5.1 Recovery Emails
You authorize RecoverPay to send emails to your customers on your behalf for the purpose of recovering failed payments. These emails will:
- Be sent from your company's name and branding
- Contain clear, professional, and non-deceptive messaging
- Include an unsubscribe option as required by law
- Direct customers to a secure payment update page
5.2 Your Responsibility
You are responsible for ensuring that you have the legal right to contact your customers for billing purposes and that such communications comply with applicable laws (including CAN-SPAM, GDPR, and other regulations).
6. Shield SDK and Circuit™ Engine
6.1 SDK License
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to use the Shield.js and Shield-Node SDKs solely for integrating fraud prevention into your applications that use Stripe.
6.2 Data Collection by SDKs
When you integrate our SDKs, they collect the following data from your end users for fraud prevention purposes:
- Device fingerprint: Browser characteristics, screen resolution, timezone, language settings
- Behavioral signals: Mouse movements, typing patterns, form interaction timing
- Network information: IP address, VPN/proxy detection, geolocation
- Bot detection signals: Automation indicators, headless browser detection
You are responsible for disclosing this data collection in your own privacy policy and obtaining any necessary consent from your end users as required by applicable law.
6.3 SDK Restrictions
You agree not to:
- Use the SDKs for purposes other than fraud prevention
- Modify, reverse engineer, or create derivative works of the SDKs
- Remove or alter any proprietary notices in the SDKs
- Use the SDKs in a way that violates your end users' privacy rights
- Share your API keys or allow unauthorized access to the SDKs
6.4 Circuit™ Engine Decisions
The Circuit™ Engine provides risk scores and recommended actions (ALLOW, BLOCK, VERIFY) based on automated analysis. You acknowledge that:
- Risk decisions are recommendations; you retain final control over transaction handling
- No fraud detection system is 100% accurate; some legitimate transactions may be flagged
- We are not liable for losses from transactions you choose to allow or block
7. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose
- Attempt to interfere with or disrupt the Service
- Reverse engineer, decompile, or attempt to extract source code
- Use the Service to send spam or unsolicited communications unrelated to payment recovery
- Misrepresent your identity or affiliation
- Violate Stripe's terms of service
- Use the SDKs to collect data beyond what is necessary for fraud prevention
- Attempt to circumvent rate limits or abuse the API
8. Intellectual Property
RecoverPay and its licensors retain all rights, title, and interest in the Service, including all software, algorithms, designs, and documentation. These Terms do not grant you any rights to use our trademarks, logos, or branding without prior written consent.
9. Disclaimers
9.1 Service Provided "As Is"
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
9.2 No Guarantee of Results
We do not guarantee any specific recovery rate or results. Payment recovery depends on many factors outside our control, including customer behavior, payment method validity, and bank policies.
9.3 Third-Party Services
Our Service relies on third-party services including Stripe. We are not responsible for any issues, outages, or changes to third-party services.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, RECOVERPAY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.
OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE FEES PAID BY YOU TO RECOVERPAY IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
11. Indemnification
You agree to indemnify, defend, and hold harmless RecoverPay and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) your customers' claims related to recovery communications.
12. Term and Termination
12.1 Term
These Terms are effective when you first connect your Stripe account and continue until terminated.
12.2 Termination by You
You may terminate at any time by disconnecting your Stripe account from RecoverPay. There are no cancellation fees or penalties.
12.3 Termination by Us
We may suspend or terminate your access if you violate these Terms, if your Stripe account is suspended, or if we discontinue the Service. We will provide reasonable notice when possible.
12.4 Effect of Termination
Upon termination, we will stop all recovery campaigns and cease accessing your Stripe data. You remain responsible for any fees incurred prior to termination.
13. Modifications to Terms
We may modify these Terms at any time. We will notify you of material changes via email or through the Service. Your continued use after changes take effect constitutes acceptance of the modified Terms.
14. Governing Law and Disputes
These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in court.
15. General Provisions
- Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and RecoverPay.
- Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
- Waiver: Our failure to enforce any right does not waive that right.
- Assignment: You may not assign these Terms without our consent. We may assign our rights and obligations freely.
